Prof. Avv. Tommaso Maria Ubertazzi
Tommaso Ubertazzi is a general counsel advising medium and large companies, including among others five large corporate groups, each of which is composed of numerous Italian and foreign companies. In his activity he manages a variety of legal issues the companies face each day at the national and international level, working closely with the entrepreneurs and the key persons in their businesses.
In fact, he very often participates in the Shareholders’ and Directors’ Meetings of the companies that he assists and advises in their most important, strategic decisions. Over the years, the clients have appreciated his work and used his advice in their general business activity, attributing him a role of a trusted primary counsel in their legal management. This was one of the reasons why he has also been appointed appointed a Trustee of two holding companies. Furthermore, , in 2021 he was appointed as a member of the Board of Gessi s.p.a. considered one of the most important companies in its sector. In this way, his role has transformed from an external assistant to being part of the company.
He personally carries out the assignments received and this characteristic has always been appreciated by entrepreneurs he assisted and who consider it an advantage which distinguishes him from other lawyers. In fact, he really has been the leading individual in all the matters indicated in this submission, assisted by Studio Ubertazzi.
PROFESSIONAL CAREER
Tommaso Ubertazzi was registered as an advocate in the Milan Bar Association in 2008. Later, in 2015, he was registered as a lawyer qualified to represent clients at the Court of Cassation.
Within the last two years, Tommaso Ubertazzi assisted in a number of extraordinary operations, among which the most prominent are: a business acquisition with the value of the assets estimated at € 1.5 billion; five recovery operations of the companies which debts amounted to € 430 million; negotiations of the sale of a controlling stake in a company which shares’ value was estimated as € 1.3 billion; and a demerger worth a total of € 300 million. He has also led the team in drafting one of the biggest lawsuits in Italy in recent years regarding directors’ liability, with an approximate value of € 860 million as well as arbitration with an approximate value of € 200 million.
In addition, from 2018 to 2021, Ubertazzi provided day-to-day assistance to two large companies in extraordinary administration which debts amounted to around € 1.9 billion, as well as to other companies with a total annual turnover of approximately € 800 million.
Over the previous years, Tommaso Ubertazzi has handled around 29 M&A and corporate reorganisation transactions; 36 debt restructuring operations (debt and arrangement recovery/restructuring plans). Moreover, he has assisted his clients, also before the supreme court, in approximately 26 disputes relating to the liability of the directors and statutory auditors of companies; and in over 43 tax disputes concerning tax inversion, VAT payments and transfer pricing.
Finally, he has assisted the clients in contracts’ negotiation also in foreign countries (often personally travelling to the places where the clients’ business partners are based) such as Luxembourg, Poland, France, Germany, Spain, Serbia, Macedonia, UK, USA, Russia, Qatar, UAE, St Maarten, Chile, Tunisia, Gabon, Congo, India, Singapore and China. Furthermore, he has assisted several clients in co-delegation before foreign jurisdictions such as the Courts of Luxembourg, Frankfurt, Paris and Madrid. He has also carried out judicial activities before international courts.
ACADEMIC CAREER
Prof. Ubertazzi wrote his first book on privacy aged 26 and became an associate professor of private law at the University of Basilicata in 2011. In 2017 he became an associate professor of private law at the University of Salerno. Recently, in 2018 he was qualified to access the position of a first-level university professor in sector 12 / A1 – Private law (full professor). He obtained a unanimous approval of all the members of the commission chaired by prof. Alpa.

For these groups Benedetta supervises and coordinates a group of foreign lawyers who are member of her networks, among which lexicom and international law association, whose law firms are typically also ranked in legal 500. In this activity company take advantage of Benedetta’s specialty in international and European Union law and role of legal advisor for the Italian Ministry of Foreign Affairs and International Cooperation.

Benedetta Ubertazzi was registered as an advocate in the Milan and in the Madrid Bar Association in 2005. Later, in 2022, she was registered as a lawyer qualified to represent clients at the Court of Cassation.
Within the last years, Benedetta Ubertazzi assisted in a number of extraordinary operations, among which the most prominent are: a business acquisition from a US leading international manufacturer and marketer of industrial forged steel valves of an Italian manufacturer of industrial valves for applications primarily in the oil and gas industries with the turnover of 925 million Euros; and another business acquisition of the minority shareholder of another leading oil and gas company was valued at around 1 billion Euros.
In an important ICC arbitration procedure regarding the sale of shares of a company worth € 1 billion, she acts as lawyers. In addition, in relation to the same dispute, she leads the team in several disputes before the courts of Milan with subject matter related to the challenge of the balance sheet and liability action, where each of the relevant lawsuit against both the companies and the directors is worth more than € 300 million.
Over the previous years, Benedetta Ubertazzi has handled M&A and corporate reorganization transactions; debt restructuring operations (debt and arrangement recovery/restructuring plans). Moreover, she has assisted her clients in several disputes, including before the supreme court (not only in Italy but also abroad) and the Court of Justice of the European Union, as well as before courts and out of court (alternative dispute resolution) bodies in Italy and also in foreign countries coordinating activities (often personally travelling to the places where the clients’ business and partners are based) in the US, EU and Asian countries (India, Japan, Russia, Maldives, Egypt, Tunisia, Algeria, Ethiopia, Serbia, Ukraine, Albania, UK, Germany, Poland, France, Belgium, Spain, Italy, etc.).
Finally, she is the Legal Expert for UNESCO, WIPO, WHO, Hague Conference of Private International Law, the World Bank, the EU, Italian Ministry of Foreign Affairs and International Cooperation, Italian Ministry of Justice, Italian Ministry of Culture, Lombardy Region, British Library Sustainable Development Programme, British Council and Spanish and Finnish Ministries.
ACADEMIC CAREER
Benedetta Ubertazzi became an aggregate professor of international and European Union law at the University of Macerata in 2010. In 2022 she became an associate professor of European Union law at the University of Milan-Bicocca. Recently, in 2022 she became the coordinator of the EU funded Jean Monnet module related to the European prosecutor and of the Erasmus + KA171 with the UNSW SYDNEY.
